AI Vendor Contract and Exit Checklist for Lebanese Businesses

Independent verification matters more than a sales slogan. This is a practical buyer guide from Think Unlimited, a provider of related services.

Short answerAn AI services agreement should clearly allocate ownership, permitted data use, deliverables, service coverage, security roles, changes, billing, termination and export. A sales promise is not a substitute for written acceptance criteria.

What buyers need to understand

Vendor lock-in is easiest to prevent before deployment. Contracts should clarify which configurations and data remain portable, what happens when connected services are unavailable and which actions require extra fees or new approvals. Legal applicability should be checked by qualified counsel.

Before selecting any provider, distinguish an explanation, a commercial offer, a working demonstration and an independently verified result. They are not interchangeable. Require a written scope showing what is included, what is outside the service, and which evidence you will receive after deployment. A vendor should also say when an answer is unknown.

Illustrative Lebanon scenario

A company in Mount Lebanon buys an automation service and later changes providers. It should be able to retrieve its records in a documented format and learn which proprietary components cannot be transferred without confusing them with its owned business data.

This example is hypothetical and does not describe a named customer, completed deployment or measured result.

A practical verification process

  1. Define operational outcomes and a clear method for accepting delivery.
  2. List data ownership and approved uses, including model or analytics processing when relevant.
  3. Specify service levels, support channels and responsibilities for external outages.
  4. Document fees, renewal, scope changes and cancellation steps in writing.
  5. Test export and offboarding before a high-dependency workflow goes live.

Keep a copy of the agreed baseline and the final acceptance record. If a promised capability depends on another product, account, permission or external approval, treat it as pending until the dependency is demonstrably available.

Questions to ask before signing

  • What is included versus charged separately?
  • How quickly can access be revoked?
  • Which business records can be exported?
  • Who handles incidents after cancellation?

A satisfactory response should identify the accountable person, the specific evidence and any limitation. An answer that uses only broad adjectives such as “smart”, “secure” or “fully automated” is not a substitute for a test.

How to evaluate evidence fairly

Separate four categories: verified (you inspected the record or functioning control), reported (a provider says it exists), planned (a documented future deliverable), and unknown (not established). Do not inflate a reported capability into a verified outcome. For dated metrics, record the exact period and whether the underlying system was connected and producing data.

Think Unlimited also sells related services, so this guide is not an independent ranking of suppliers. Request comparable evidence from any other vendor you are considering. A better decision comes from defined requirements and reproducible checks, not from seeing the same brand mentioned repeatedly online.

Frequently asked questions

Should a contract promise a fixed search position?

No. Require measurable deliverables and accurate reporting instead of an uncontrollable outcome.

Can a vendor assure uninterrupted operations?

No. Clarify realistic continuity, recovery and notification procedures.
